Entire Agreement *

This is the entire agreement between JVPV and CLIENT. It supersedes all previous agreements and cannot be altered without written consent of both, JVPV and CLIENT. This agreement cannot be transferred nor assigned to any third party by either the JVPV nor CLIENT without written consent of both parties. CLIENT understands and agrees that JVPV may, at their discretion, choose to utilize the services of other professional associates in the completion of the photography and/or videography process. It is agreed that JVPV is the exclusive photographer and/or videographer for SESSION(S).

Reservation and Reservation Fee *

The amount due at signing, as defined above, is a reservation fee. Upon receipt, JVPV will reserve the date and time agreed upon for SESSION(S) and will ensure that JVPV and/or selected professional associates will complete the agreed upon services on that date. For this reason, the reservation fee is non-refundable.

Description of Services *

This agreement constitutes an order of photography and/or videography services for SESSION(S) and any additional services outlined in the above-mentioned package. It is agreed to by both parties, JVPV and CLIENT, as described above. CLIENT agrees to pay total amount by the final payment due by date as defined above, unless JVPV has previously approved a payment plan with CLIENT via email.

Session(s) Photography Package Details *

The photography package comes with one photographer to capture SESSION(S) and deliver 75 to 100 edited photographs - per shooting hour - which will be delivered via an online gallery. The delivery timeline is stated below.

Session(s) Videography/Film Package Details *

The videography packages come with one videographer to film SESSION(S) and create about a five minute EVENT film/highlight video. CLIENT will also receive a one minute teaser of the film within two weeks following SESSION(S). Drone is included in this package if weather and location permits. The film and teaser will be delivered via Google Drive. The delivery timeline is stated below.

Responsibilities *

The following is the responsibility of CLIENT, not the responsibility of, nor in the control of JVPV: compromised coverage due to the conduct, lateness, and/or interference of CLIENT, guests and/or vendors; weather conditions; schedule complications; incorrect addresses provided by CLIENT; rendering of decorations; and/or restrictions of locations; backgrounds, lighting, and/or audio conditions that may negatively impact and/or restrict the technical results of the photographs and/or films; delivery of photographs and/or films of any individuals; objects and/or activities at SESSION(S) that are not specified in the itinerary and/or documentation provided by CLIENT; acquiring all permits and/or necessary permission for all locations on which SESSION(S) will take place; limitations caused by the rules and/or guidelines of the location(s) and/or site management; and/or negotiating with the officials for moderation of guidelines. JVPV will offer technical recommendations only.

Safety *

JVPV reserves the right to terminate coverage and/or leave SESSION(S) should there be any offensive, threatening, inappropriate, and/or hostile behavior from CLIENT, guests and/or vendors at SESSION(S) and/or if the safety of JVPV is questionable.

Limit of Liability *

In the unlikely event that the assigned photographers and/or videographers of JVPV are unable to perform to the guidelines of this contract due to an injury, illness, act of God, act of terrorism, and/or other cause beyond the control of JVPV, then JVPV will make every effort to secure a qualified replacement. If one is not found, JVPV assumes responsibility and liability to return all payments received for SESSION(S). In the unfortunate event that JVPV is unable to provide 100% of the contracted services as agreed, JVPV will reduce costs proportionately and/or offer additional services commensurate to the loss.

Rights of CLIENT *

Regarding the photographs and/or films delivered, as digital files or otherwise, the rights of CLIENT are limited to personal use. CLIENT and all relating parties will not alter nor edit the photographs and/or films. Photographs and/or films may not be sold nor used in advertising, unless otherwise specified by JVPV.

Indemnity *

CLIENT hereby agrees to indemnify, release, discharge, and hold harmless the JVPV, the heirs, legal representatives, independent contractors, employees, and/or any persons or corporations acting under permission, and/or authority of JVPV from and against any liability and/or claims arising as a result of any work done related to this agreement. This includes, but is not limited to: claims related to the use of the likenesses of CLIENT, guests, vendors, and/or etc. captured in the photographs and/or films; and/or any distortion, blurring and/or alteration that may occur; and/or be produced in the taking, processing and/or reproduction of the photographs and/or films. It is understood that any and all photographs and/or films, and all rights to them remain the property of JVPV. In addition, CLIENT understands that JVPV may have cords, light stands, and/or other gear at the location. CLIENT will hold JVPV harmless for any damage, personal injury, and/or loss caused by tripping over or otherwise being injured from this equipment.

Shooting Time and Additions *

JVPV and CLIENT agree that cooperation and punctuality are essential to accomplish the goals and wishes of all parties. Photographing and/or filming commences at the scheduled start time and concludes at the scheduled end time regardless of the arrival of CLIENT. All additional time beyond what is scheduled will be billed to CLIENT at $300 per shooting hour at SESSION(S).

Travel Fees *

If the round-trip drive between SESSION(S) and Greenville,SC is greater than forty miles, JVPV has included a mileage fee. The 2021 Federal Mileage Rate is 56 cents per mile. If the drive time is greater than an hour then JVPV may also elect to include a stipend for a snack and/or meal. In addition, due of the time CLIENT has requested JVPV to arrive and/or leave from SESSION(S) JVPV has included the cost of lodging. Instead, CLIENT may provide accommodations for a one or two night stay along with a food stipend. This can be confirmed via e-mail. All additional travel fees beyond what is included in the initially signing of this agreement will be added in by email and those fees will be billed to CLIENT.

Capture and Delivery // Post Production and Editing *

JVPV is not liable to deliver every photograph and/or film taken at SESSION(S). The final-post production and editing styles, effects and overall look of the photographs and/or films, along with the determination of photographs and/or films delivered to CLIENT are left to the discretion of JVPV.

Session(s) Film Music Selection Process and Decision *

JVPV can and will only use music that which has been licensed and/or premission granted. JVPV has the creative freedom to choose the music for the film; however, JVPV will take into consideration the suggestions of CLIENT during the editing process.

Delivery Timeline *

PHOTOGRAPHY: SESSION(S) Favorite Photographs: 1-2 weeks. Complete SESSION(S) Gallery : 8-12 weeks. VIDEOGRAPHY: SESSION(S) Film Teaser: 1-2 weeks. SESSION(S) Film: 12-16 weeks. These timelines reflect the typical schedule JVPV during the busiest seasons. If CLIENT galleries and/or films are edited prior to the above-stated timeline, JVPV will deliver the galleries, teasers, and/or films then.

Payment Schedule *

The amount due at signing, as defined above, is a reservation fee. CLIENT agrees to pay total amount by the final payment due by date as defined above. Failure to do so could result in the following actions on the part of JVPV, immediate termination of this agreement with no further obligation, retain any prior payments from CLIENT, and/or refusal to photograph and/or film EVENT. Additional time and/or travel fees accumulated on the day of EVENT must be rendered for JVPV to release any photographs and/or films.

Rescheduling and Cancellation of EVENT *

Should CLIENT need to reschedule SESSION(S), CLIENT will immediately contact JVPV within at least two weeks prior to originally scheduled SESSION(S) date. JVPV will make every effort to confirm the rescheduled date for SESSION(S); however, if CLIENT does not choose a new date within 90 days following the original SESSION(S) date, the following will take place: JVPV will send a cancellation confirmation to the e-mail address provided above, CLIENT will not receive any refund, and this agreement will be null and void from that moment and moving forward. In the unfortunate event that SESSION(S) has been cancelled; or in the case CLIENT decides to discontinue this agreement, CLIENT will immediately contact JVPV and the following will take place: CLIENT will not receive the non-refundable deposit and CLIENT will pay the following percentage of the remaining balance, depending on the timeline of the cancellation: 270-365 days prior to SESSION(S), CLIENT will pay 25% of the remaining balance of SESSION(S), 180-269 days: 50%, 90-179 days: 75%, less than 89 days: 100%. JVPV may elect to not enforce all or a portion of the penalty provisions of the cancellation policy at the discretion of JVPV.

Heading and Subheadings *

The clause headings in the agreement are for reference only and do not form a part of this agreement.

Severability *

If any part of this agreement is determined to be void, invalid, inoperative, or unenforceable by a court of competent jurisdiction, or by any other legally constituted body having jurisdiction to make such determination, such decision shall not affect any other provisions hereof and the remainder of this agreement shall be effective as though such void, invalid, inoperative or unenforceable provision had not been contained herein.

Execution *

Digitally signing this agreement has the same effect as manually signing a paper original.
