Entire Agreement *

This is the entire agreement between JVPV and IC. It supersedes all previous agreements and cannot be altered without written consent of both JVPV and COUPLE. This agreement cannot be transferred nor assigned to any third party by either the JVPV nor IC without written consent of both parties. IC understands and agrees that JVPV may, at their discretion, choose to utilize the services of other professional associates in the completion of the photography and/or videography process. It is agreed that JVPV is the exclusive photographer and/or videographer for WEDDING.

Relationship Between Parties/Representations and Warranties of IC *

IC is fully able to enter into and perform the obligations pursuant to this agreement in a professional manner. IC agrees to work for JVPV as a work-for-hire associate providing photography and/or videography services for WEDDING. Nothing in this agreement shall be construed as creating an employer-employee relationship, as a guarantee of future employment nor engagement, nor as a limitation upon the sole discretion of JVPV to terminate this agreement at any time without cause. IC further agrees to be responsible for the following that belong to IC: Federal and State Taxes, withholding, Social Security, insurance and all other benefits. IC shall have no claim against JVPV hereunder nor otherwise for but not limited to: vacation pay, sick leave, retirement benefits, Social Security, worker’s compensation, health nor disability benefits, unemployment insurance benefits, nor employee benefits of any kind.

Statement of Work *

IC shall do the following to complete the above mentioned photography and/or videography services for WEDDING: dress in appropriate clothes and will appear neat and clean, conduct in a professional manner in keeping with industry standards, abide by WEDDING itinerary provided by JVPV, provide equipment and supplies belonging solely to IC, capture high-quality photographs and/or films in RAW format (such as LOG, .cr2 or .dng), and deliver all original WEDDING photographs and/or films in the RAW format to JVPV within fourteen days following WEDDING via: the laptop, computer or external hard drive of JVPV, electronic media, or the SD/CF cards belonging to IC, which JVPV will return.

Equipment *

IC is responsible for providing all of IC equipment with which to complete the assignments. This includes providing IC personal media cards with which to photograph and/or film. JVPV requires that WEDDING to be photographed and/or filmed in digital RAW file format and that all original digital RAW files are relinquished to JVPV upon completion of the contracted job. IC will use photography and/or videography equipment belonging solely to IC unless otherwise previously agreed upon by JVPV. In the event that IC uses the equipment of JVPV, IC agrees to treat all other equipment with due care, including to never leave the photography and/or videography equipment unattended, especially out of sight or in an area where it may be damaged. Any equipment that is damaged as a result of negligence or fault of IC and will need to be replaced and/or repaired.

Shooting Time and Additions *

JVPV, IC and clients of WEDDING agree that cooperation and punctuality are essential to accomplish the goals and wishes of all parties. Photographing and/or filming commences at the scheduled start time and ceases at the scheduled end time regardless of the arrival of clients of WEDDING. All additional time beyond what is scheduled will be billed by JVPV to clients of WEDDING and IC will be appropriately compensated.

Meal Provisions *

Client of WEDDING agrees that IC will be provided a meal for each four-hour incriminate of photographing and/or filming. These meals will be what the bridal party and/or guests will be served prior to the ceremony and/or during the reception. If one or both meals are not provided to IC, then the client of WEDDING understands that IC will need to leave during WEDDING, and the following will be billed to client of WEDDING: a meal stipend ($20 per meal), a travel stipend - at $.56 per mile, per vehicle, for the round-trip drive between WEDDING, food service(s) - and, a time stipend - at $300 per hour - if these meal breaks cause WEDDING to be extended. JVPV and/nor IC are not held responsible for traffic and/nor food service delays that may occur outside of the control of IC and/or JVPV. IC and/nor JVPV is not liable for any coverage missed during such break(s).

Additional Payment *

Reimbursement will occur on approved business expenses as required or needed. Any travel that is needed for assigned projects or work reasons will be paid for by JVPV, but will be limited to lodging and transportation and only with prior approval.

Responsibilities *

The following is the responsibility of the clients of WEDDING, not the responsibility of, nor in the control of IC on behalf of JVPV: compromised coverage due to the conduct, lateness, interference of clients, guests nor vendors, weather conditions, schedule complications, incorrect addresses provided by clients of WEDDING, rendering of decorations, nor restrictions of locations; backgrounds, lighting, nor audio conditions that may negatively impact nor restrict the technical results of the photographs and/nor films; delivery of photographs and/nor films of any individuals, objects nor events at WEDDING that are not specified in the itinerary nor documentation provided by clients of WEDDING, acquiring all permits and necessary permission for all locations on which WEDDING will take place, limitations caused by the rules and guidelines of the location(s) and site management, nor negotiating with the officials for moderation of guidelines is the responsibility of the clients of WEDDING; IC on behalf of JVPV will offer technical recommendations only.

Safety *

IC on behalf of JVPV reserves the right to terminate coverage and/or leave WEDDING should there be any offensive, threatening, inappropriate, and/or hostile behavior from the clients, guests and/or vendors at WEDDING and/or if the safety of IC is questionable.

Copyrights of IC *

The copyrights to the photographs and/or films produced by IC belong to JVPV. IC agrees not to sell or share any WEDDING photographs and/nor films to any person, company, group, advertising agency nor otherwise without the express written permission of JVPV. In exchange for payment, IC transfers ownership in full of all original works and intellectual property created by IC during the course of completing WEDDING photography and/or videography services on behalf of JVPV. All photographs and/or films taken, all poses arranged, all edits, all digital files, and any other work created by IC in relation to this agreement is the exclusive and sole property of JVPV. IC relinquishes all copyright and other intellectual property rights of any media created in relation to this agreement to JVPV.

Confidentiality *

IC understands that all property of JVPV that are seen by and/or given to IC for the completion of this agreement are the exclusive property of JVPV and are privileged and confidential information. Those items include but are not limited to: cameras, lenses, film, photograph/film files, memory cards and other photography equipment or supplies; computers, office supplies, equipment, books, files, price lists, contracts, vendor contacts/lists, client contacts/lists, clients’ personal information, editing & shooting techniques, marketing ideas, financial documents, agreements, and other information or documents. IC agrees: to not reveal this information to anyone, nor to use this information to the detriment of JVPV, including to circumvent nor to undercut sales, and that all materials as described above must be returned to JVPV when this agreement has been completed. IC agrees to take reasonable security measures to prevent any accidental disclosure of this information.

Indemnifications of JVPV *

IC understands and agrees: JVPV may have cords, light stands, and other gear at the location. IC will hold JVPV harmless for any damage, personal injury, or loss caused by tripping over or otherwise being injured from this equipment. IC may be captured in photographs and/or films. JVPV may use the likeness of IC for any commercial purpose that is not defamatory nor pornographic to a reasonable person. JVPV is not liable for loss nor damage of the equipment of IC, except for the intentional torts of JVPV. IC agrees to indemnity, defend, and hold harmless JVPV against all claims, liabilities, damages, costs and expenses, including reasonable legal fees and expenses, arising from the performance of the services pursuant to this agreement.

Indemnifications of IC and JVPV *

Clients of WEDDING agree to indemnify, release, discharge and hold harmless JVPV its heirs, legal representatives, assigns, employees or any persons or corporations acting under permission or authority of JVPV, including IC from and against any liability or claims arising as a result of any work done related to this agreement. This includes, but is not limited to claims related to the use of the likenesses of anyone captured in the photographs and/or films and/or any distortion, blurring or alteration that may occur and/or be produced in the taking, processing and/or reproduction of the photographs and/or films.

Non-Compete and Exclusivity *

IC agrees: to not perform other services and/nor projects which would interfere with WEDDING during the term of this agreement; to not solicit, promote, nor represent IC photography and/or videography services nor other photographers and/or videographers’ services; nor to accept employment by, nor render professional services to, any person or organization that is nor has been a client of JVPV during the term of this agreement and for the reasonable period of one year thereafter, only JVPV business information should be given out. IC is not bound by an exclusivity contract when not working directly for JVPV and may pursue other photography and/or videography work. JVPV may hire other people to provide similar services as being provided by IC.

Non-Disclosure *

IC agrees to refrain from disclosing any company assets or trade secrets, including but not limited to client lists, wedding dates, operation methods, pricing details, agreements and similar verbiage, editing methods, or other confidential information. IC agrees to take reasonable security measures to prevent any accidental disclosure of this information. IC agrees to pay to JVPV liquidated damages of $25,000 if any violation of this nondisclosure and non-competition clause is proved or admitted.

Liability/Failure to Complete Hired Services *

In the unlikely event that IC is unable to perform to the guidelines of this agreement due to an injury, illness, act of God, act of terrorism, or other cause beyond the control of JVPV, IC will make every effort to assist JVPV in securing a qualified replacement. If one is not found, IC assumes responsibility and liability to surrender and/or return all payments received by JVPV for WEDDING. Failure to complete the agreement is to neither perform the photography and/nor videography services for WEDDING, nor deliver photographs/films of WEDDING to JVPV for any reason including, but not limited to, the loss of digital files or other media or the failure of the equipment belonging to IC; nor should the photographs and/or films be of excellent quality within professional standards. This shall constitute a material breach of the terms of this agreement, subjecting IC to monetary damages including but not limited to, surrounding the amount that has been and/or would have been given to the IC for photography and/or videography services for WEDDING, and/or the cost for JVPV to remedy the situation, such as additional editing/color correction or restoration of damaged and/or deleted files.

Termination and Cancelation *

JVPV may terminate this agreement at any time for any reason by giving written notice to IC. With reasonable cause, such as the failure of JVPV to comply with the terms of this agreement, IC may terminate this agreement effective immediately upon giving written notice to JVPV.

Governing Law and Jurisdiction/Dispute Resolution/Arbitration *

The validity, construction, and enforceability of this agreement shall be governed in all respects by the laws of the State of South Carolina. If any dispute arises in connection with or relating to this agreement, then JVPV and IC agree that the proper jurisdiction shall be the courts located in Greenville County, South Carolina and JVPV and IC waive any defense of personal jurisdiction or lack of venue. Any claims arising out of this agreement shall be first submitted to a licensed neutral party in a mutually agreed upon location and on a mutually agreed upon date to make a good faith effort to resolve or settle the issue by mediation. Any dispute arising under or in any way related to this agreement shall be submitted to binding arbitration by the American Arbitration Association in accordance with the Association’s commercial rules in effect. The arbitration shall be conducted in the state of South Carolina. The arbitration shall be binding on the parties. If JVPV and IC do not successfully reach an agreement, all claims or disputes more than the jurisdiction of small claims court shall be submitted to binding arbitration. JVPV and IC shall select a single arbitrator, and the arbitration shall take place in Greenville County, South Carolina. The arbitrator’s decision shall be binding on JVPV and IC and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction. The prevailing party in any arbitration, trial or other proceedings shall be awarded all filing fees, related administrative costs, and reasonable attorneys’ fees, as well as administrative and other costs of enforcing an arbitration award or judgment.

Severability *

If any part of this agreement is determined to be void, invalid, inoperative or unenforceable by a court of competent jurisdiction or by any other legally constituted body having jurisdiction to make such determination, such decision shall not affect any other provisions hereof and the remainder of this agreement shall be effective as though such void, invalid, inoperative or unenforceable provision had not been contained herein.

Heading and Subheadings *

The clause headings in this agreement are for reference only and do not form a part of this agreement.

Execution *

Digitally signing this agreement has the same effect as manually signing a paper original.
