Entire Agreement *

This is the entire agreement between JVPV and COUPLE. It supersedes all previous agreements and cannot be altered without written consent of both JVPV and COUPLE. This agreement cannot be transferred or assigned to any third party by either the JVPV or COUPLE without written consent of both parties. COUPLE understands and agrees that JVPV may, at their discretion, choose to utilize the services of other professional associates in the completion of the photography process. It is agreed that JVPV is the exclusive photographer for SESSION(S).

Reservation *

Upon receipt of this agreement JVPV will reserve the date and time agreed upon for SESSION(S) and will insure that JVPV and/or selected professional associates will complete the agreed upon services.

Description of Services *

This agreement constitutes an order of photography services for an one hour or two photography SESSION(S) at the date and time all of which are stated above. COUPLE will receive and estimated 75-100 edited photographs - per SESSION(S) - which will be delivered via an online gallery. The delivery timeline for photographs is stated below.

Responsibilities *

The following is the responsibility of COUPLE, not the responsibility of, nor in the control of JVPV: compromised coverage due to the conduct, lateness, interference of COUPLE, guests or vendors, weather conditions, schedule complications, incorrect addresses provided by COUPLE, rendering of decorations, or restrictions of locations; backgrounds, or lighting conditions that may negatively impact and/or restrict the technical results of the photographs delivery and/or photographs of any individuals, objects and/or events at SESSION that are not specified in the documentation provided by COUPLE, acquiring all permits and necessary permission for all locations on which SESSION(S) will take place, limitations caused by the rules and guidelines of the location(s) and/or site management, negotiating with the officials for moderation of guidelines. JVPV will offer technical recommendations only.

Safety *

JVPV reserves the right to terminate coverage and/or leave SESSION(S) should there be any offensive, threatening, inappropriate, or hostile behavior from COUPLE, guests or vendors at SESSION(S), or if the safety of JVPV is questionable.

Limit of Liability *

In the unlikely event that the assigned photographers of JVPV are unable to perform to the guidelines of this contract due to an injury, illness, act of God, act of terrorism, and/or other cause beyond the control of JVPV, JVPV will make every effort to secure a qualified replacement. If one is not found, JVPV assumes responsibility and liability to return all payments received for SESSION(S). In the unfortunate event that JVPV is unable to provide 100% of the contracted services as agreed, JVPV will reduce costs proportionately and/or offer additional services commensurate to the loss.

Rights of COUPLE *

Regarding the photographs delivered, as digital files or otherwise, the rights of COUPLE are limited to personal use. COUPLE and all relating parties will not alter nor edit the photographs. Photographs may not be sold or used in advertising unless otherwise specified by JVPV.

Indemnity *

COUPLE hereby agrees to indemnify, release, discharge and hold harmless the JVPV, its heirs, legal representatives, independent contractors, employees, any persons and/or corporations acting under permission and/or authority of JVPV from and against any liability and/or claims arising as a result of any work done related to this agreement. This includes, but is not limited to, claims related to the use of the likenesses of COUPLE, guests, vendors, etc. captured in the photographs and/or any distortion, blurring and/or alteration that may occur and/or be produced in the taking, processing and/or reproduction of the photographs. It is understood that any and all photographs and all rights to such remain the property of JVPV. In addition, COUPLE understands that JVPV may have cords, light stands, and/or other gear at the location. COUPLE will hold JVPV harmless for any damage, personal injury, and/or loss caused by tripping over and/or otherwise being injured from this equipment.

Shooting Time and Additions *

JVPV and COUPLE agree that cooperation and punctuality are essential to accomplish the goals and wishes of all parties. Photographing commences at the scheduled start time and concludes at the scheduled end time regardless of the arrival of COUPLE. All additional time beyond what is scheduled will be billed to COUPLE at the regular rate of $300 per shooting hour at SESSION(S).

Travel Fees *

If the drive from Greenville, SC to SESSION(S) and back to Greenville,SC is greater than forty miles JVPV has included a mileage fee. The 2021 Federal Mileage Rate is 56 cents per mile. If the drive time is greater than an hour then JVPV may elect to include a stipend for a snack and/or meal as well. In addition, due to the time COUPLE has requested JVPV to arrive and/or leave from SESSION(S), JVPV has included the cost of lodging or COUPLE has provided accommodations for a one or two night stay along with a food stipend. All additional travel fees beyond what is included in the initial signing of this agreement will be added in by email and those fees will be billed to COUPLE.

Rescheduling and Cancellation *

Should JVPV and/or COUPLE be unable to keep the date and time of SESSION(S) then, a notice of at least 24-hours in advance must be by either/both party(ties), and a new date and time will be chosen. If the weather conditions are not permissible for SESSION(S), JVPV and COUPLE may elect to change the date and/or time of SESSION(S). A 24-hour notice must be made prior for such rescheduling. JVPV will make every effort to reschedule SESSION(S); however, if COUPLE does not choose a new date and/or time within two weeks following the original SESSION(S) date and time, the following will take place: JVPV will send said email confirmation to the email address provided above, COUPLE will not receive any refund(s), and this agreement will be null and void from that moment on. In the unfortunate event that SESSION(S) has been cancelled by COUPLE; or in the case COUPLE decides to discontinue this agreement, COUPLE will immediately contact JVPV. COUPLE will not receive any refund(s) for payments previously made for SESSION(S). The decision to re-establish an agreement for SESSION(S), by the request of COUPLE, will be left the the discretion of JVPV. JVPV may elect to not enforce all or a portion of the penalty provisions of the cancellation policy at the discretion of JVPV.

Capture and Delivery/Post- Production and Editing *

JVPV is not liable to deliver every photograph taken at SESSION(S). The final-post production and/or editing styles, effects as well as the overall look of the photographs along with the determination of photographs delivered to COUPLE are left to the discretion of JVPV.

Delivery Timeline *

Favorite Photographs: 1-2 weeks. Complete Gallery: 4-8 weeks.

Payment Schedule *

The amount stated above is due at the time of signing. Additional time and/or travel fees accumulated on the day of SESSION(S) must be rendered for JVPV to release any photographs. Failure to do so could result in the following actions on the part of JVPV, immediate termination of this agreement with no further obligation, retain any prior payments from COUPLE, and/or refusal to photograph SESSION(S).

Payment Plan(s) *

JVPV and COUPLE agree that at signing and/or during the time of this agreement that COUPLE may set up a payment plan for assistance in make any or all of the remaining balance. This plan will follow one of two options. The first being, an one-time payment that amounts to the total of the remaining balance paid by one month following WEDDING. The second option, COUPLE will make a monthly payment that amounts to the total remaining balance divided by the preferred number of months (maximum of twelve months). The final payment must be made by the one year anniversary of WEDDING. JVPV will commence all editing once JVPV has received the final payment from COUPLE. From then, the above mentioned editing schedule will be adjusted to match the new start date - the date on which the final payment was made. Failure complete the payment plan could result in the immediate termination of this agreement with no further obligation and/or retain any prior payments from COUPLE. Additional time and/or travel fees accumulated on the day of WEDDING must be rendered for JVPV to release any photographs and/or films.

Heading and Subheadings *

The clause headings in the agreement are for reference only and do not form a part of this agreement.

Severability *

If any part of this agreement is determined to be void, invalid, inoperative or unenforceable by a court of competent jurisdiction or by any other legally constituted body having jurisdiction to make such determination, such decision shall not affect any other provisions hereof and the remainder of this agreement shall be effective as though such void, invalid, inoperative or unenforceable provision had not been contained herein.

Execution *

Digitally signing this agreement has the same effect as manually signing a paper original.

JVPV Signature *
